Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the PixelUnik application ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not install or use the Service. Your continued use of the Service constitutes your acceptance of any updates or modifications to these Terms.

2. Description of Service

PixelUnik is a Shopify application that provides image optimization services for e-commerce merchants. Our Service includes:

• Image Compression: Reducing file sizes of product images while maintaining visual quality
• Format Conversion: Converting images to modern formats (WebP, JPEG, PNG)
• AI-Powered Alt Text: Generating descriptive, SEO-friendly alternative text for images
• SEO Renaming: Automatically renaming image files based on product information
• Meta Description Generation: Creating optimized meta tags for products
• Content Translation: Translating product content to multiple languages
• Image Backup: Preserving original images for the duration of your subscription

Features marked as "Coming Soon" on our website are under development and may be subject to change or cancellation.

3. Eligibility

To use PixelUnik, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have a valid and active Shopify store
• Have the authority to accept these Terms on behalf of your business
• Not be prohibited from using the Service under applicable laws

4. Account Registration

When you install PixelUnik from the Shopify App Store, an account is automatically created using your Shopify store information. You are responsible for:

• Maintaining the security of your Shopify account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your account information is accurate and up-to-date

5. Plans and Tokens

PixelUnik operates on a token-based system with the following subscription plans:

5.1 Token Usage

• Tokens are consumed when you perform optimization operations
• Unused tokens do not roll over to the next billing period, except for Carry-On subscribers who retain their unused tokens
• Tokens reset on the first day of each billing cycle
• Different operations may consume different amounts of tokens

5.2 Promotional offers

We may adjust pricing and token allocations from time to time. Changes will be communicated in advance according to these Terms.

6. Payment and Billing

6.1 Billing Through Shopify

All payments for PixelUnik are processed through Shopify's billing system. By subscribing to a paid plan, you authorize Shopify to charge your payment method on file according to your chosen billing cycle.

6.2 Subscription Terms

• Subscriptions are billed in advance on a monthly basis
• Your subscription will automatically renew unless cancelled before the renewal date
• Price changes will be communicated at least 30 days in advance

6.3 Refunds

Due to the nature of our digital service:

• Refunds are handled according to Shopify's App Store refund policies
• If you are unsatisfied with the Service, please contact us within 14 days of purchase
• We may, at our discretion, provide tokens or refunds for service issues caused by us

6.4 Carry-On Plan

The Carry-On plan is a low-cost maintenance plan at $1.99/month. It allows you to keep your unused tokens, preserve your original images, and stay connected to the platform. We reserve the right to modify the Carry-On plan with 30 days' notice.

7. Acceptable Use

You agree to use PixelUnik only for lawful purposes. You must NOT:

• Upload or process images containing illegal content, including but not limited to child exploitation material, content that violates intellectual property rights, or content that promotes violence or hatred
• Attempt to circumvent usage limits, token systems, or security measures
• Use the Service to harm, abuse, or harass others
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts or bots to access the Service beyond normal API usage
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service in any way that violates Shopify's Terms of Service or Acceptable Use Policy
• Interfere with or disrupt the integrity or performance of the Service

8. Intellectual Property

8.1 Our Intellectual Property

PixelUnik, including its software, design, logos, trademarks, and documentation, is owned by PixelUnik and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

8.2 Restrictions

You may not:

• Copy, modify, or distribute any part of the Service
• Use our trademarks or branding without written permission
• Create derivative works based on the Service
• Remove any copyright or proprietary notices from the Service

9. Your Content and Images

9.1 Ownership

You retain full ownership of your product images and content. We do not claim any intellectual property rights over the images you process through our Service.

9.2 License to Process

By using the Service, you grant us a limited license to:

• Access and download your product images from Shopify for processing
• Temporarily store images for optimization purposes
• Send images to our AI providers for alt-text generation (when you use this feature)
• Upload optimized images back to your Shopify store
• Create and maintain backup copies for the duration of your subscription

9.3 Your Responsibilities

You represent and warrant that:

• You own or have the necessary rights to all images you process
• Your images do not infringe on any third party's intellectual property rights
• Your images comply with all applicable laws and regulations

9.4 Optimizations Are Permanent

Once optimized images are uploaded to your Shopify store, they replace the original images on Shopify's servers. Your originals are preserved for the duration of your subscription (including Carry-On). Upon cancellation, you may retrieve your originals or keep the optimized versions.

10. Third-Party Services

PixelUnik integrates with third-party services to provide its functionality:

• Shopify: Your use of PixelUnik is subject to Shopify's Terms of Service
• AI Services: We use third-party AI providers for alt-text and content generation
• Cloud Infrastructure: Our service runs on third-party cloud platforms

We are not responsible for the availability, accuracy, or policies of third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

11. Disclaimers and Warranties

11.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Results

We do not guarantee:

• Specific improvements in page speed, SEO rankings, or sales
• That the Service will meet all your requirements
• That the Service will be uninterrupted, error-free, or secure
• The accuracy or quality of AI-generated content

11.3 AI-Generated Content

Alt-text, meta descriptions, and translations generated by AI may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before publishing.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PIXELUNIK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM IMAGE QUALITY DEGRADATION, DATA LOSS, OR SERVICE INTERRUPTIONS

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless PixelUnik, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you process through the Service

14. Termination

14.1 Termination by You

You may terminate your use of PixelUnik at any time by uninstalling the app from your Shopify store. Upon uninstallation:

• Your subscription will be cancelled
• Unused tokens will not be refunded
• Your data will be deleted within 48 hours of receiving Shopify's redaction webhook

14.2 Termination by Us

We may suspend or terminate your access to the Service:

• If you violate these Terms or our Acceptable Use Policy
• If required by law or Shopify
• If you fail to pay applicable fees
• If we discontinue the Service (with 30 days' notice)

14.3 Effect of Termination

Upon termination:

• All licenses granted to you will immediately terminate
• You must cease all use of the Service
• Optimized images already uploaded to your Shopify store will remain there
• We will delete your data according to our Privacy Policy

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last updated" date at the top of this page
• We will notify you via email or in-app notification for significant changes
• Changes will take effect 30 days after notification for existing users
• Your continued use of the Service after changes take effect constitutes acceptance

If you do not agree to the modified Terms, you must stop using the Service before the changes take effect.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

1. Informal Resolution: We encourage you to contact us first to resolve any issues informally
2. Mediation: If informal resolution fails, disputes may be submitted to mediation
3. Jurisdiction: Any legal action shall be brought exclusively in the courts of Quebec, Canada

16.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes with us on an individual basis and waive the right to participate in class actions or class arbitrations.
